| Federal
and state laws provide individual and institutional investors with remedies for
securities fraud by companies issuing securities, their officers and directors,
underwriters, and accounting and other professionals who may be involved
in the fraud. Common claims include "fraud on the
market," where a company artificially inflates or
maintains the market price of its stock by misrepresenting or failing to disclose
the company's true financial performance. |
| Lieff Cabraser is nationally recognized for its representation
of shareholders in cases alleging violations of federal securities laws by major
corporations and their directors, including many of the most publicized financial
frauds arising out of Silicon Valley. |
| For
example, we served as co-lead counsel in class action suits arising out of an
alleged fraudulent scheme by Scorpion Technologies, Inc., certain of its officers,
accountants, underwriters and business affiliates to inflate the companys
earnings through reporting fictitious sales. |
| In
April 2002, a federal jury in San Francisco, California
returned a $170.7 million verdict against Edsaco Ltd. The
jury found that Edsaco aided Scorpion in setting up phony
European companies as part of scheme in which Scorpion reported
fictitious sales of its software to these companies, thereby
inflating its earnings. Included in the jury verdict was
$165 million in punitive damages. |
| The
verdict against Edsaco constituted one of the largest verdicts in the U.S. in
2002. Subsequently, the parties reached a settlement of the action on favorable
monetary terms to the class, which included Edsaco's relinquishment of its right
to appeal and plaintiffs' agreement to vacate the jury verdict. |
